Article 1 — Publisher, Purpose and Acceptance

Sleeq, a French simplified joint-stock company (SAS) with a share capital of €1,112, with its registered office at 5 rue Raymond Losserand, 75014 Paris, France, registered with the Paris Trade and Companies Register under number 893 693 986 (hereinafter "Sleeq"), publishes the Kleeq platform, a SaaS video collaboration service (hereinafter "the Service").

These Terms and Conditions (hereinafter "the Terms") define the contractual conditions applicable to all users of the Service (hereinafter "the User").

Any account creation or use of the Service implies full and complete acceptance of these Terms. The User acknowledges having read and accepted them by checking the box provided during registration.

Article 2 — Access and Account Creation

Access to the Service requires creating an account using one of the available authentication methods: email and password, or Google OAuth 2.0 authentication.

The User is solely responsible for the confidentiality of their login credentials and the security of their account. They agree to notify Sleeq without delay of any unauthorized use of their account. Sleeq shall not be held liable for any fraudulent access to the User's account resulting from the User's negligence.

Article 3 — Description of the Service

Sleeq enables the upload, playback, time-coded annotation and approval of professional videos.

Watermark: All videos uploaded to the platform are automatically watermarked. Removal of the watermark and the ability to download the final version of the video are subject to an active subscription.

Video hosting: Videos are hosted by the third-party provider Mux, Inc. Sleeq commits to a best-effort obligation regarding the availability of the streaming service, but cannot guarantee the complete absence of interruptions related to its subcontractors' infrastructure.

Availability: Sleeq endeavors to keep the Service accessible 24/7. Temporary interruptions may occur for maintenance operations or due to technical circumstances beyond Sleeq's control. Scheduled maintenance will, where possible, be performed outside business hours (Europe/Paris timezone). The Service is provided "as is" and Sleeq does not guarantee a specific uptime rate.

Article 4 — Financial Terms

4.1. Pricing

The Service is provided as a monthly subscription at the current rate displayed on the website. Prices are expressed in euros and exclude taxes. French VAT applies at the current rate.

Sleeq reserves the right to modify its pricing. Any pricing change will be notified to the User by email at least thirty (30) days before taking effect. Users who do not accept the new pricing may cancel their subscription in accordance with Article 8.

4.2. Payment and Billing

Payment is made by credit card through the secure Stripe platform. The subscription is charged in advance (at the beginning of each monthly period). In the event of payment failure, Sleeq reserves the right to immediately suspend access to subscription features.

4.3. Refunds

In the event of voluntary cancellation by the User, any started month is due in full. No pro-rata refund will be granted, as the Service is considered consumed once the User has accessed watermark-free features for the current period.

This provision does not affect the User's rights under the legal guarantee of conformity (Articles L217-1 et seq. of the French Consumer Code).

Article 5 — Right of Withdrawal

In accordance with Article L221-28 13° of the French Consumer Code, the User expressly acknowledges and accepts that the Service consists of the supply of digital content not provided on a tangible medium. By confirming their subscription to access watermark-free content, the User requests immediate performance of the Service and expressly waives their fourteen (14) day right of withdrawal.

Article 6 — Prohibited Content and Moderation

The User is prohibited from uploading, distributing or sharing via the Service any content that:

  • infringes the intellectual property rights of third parties;
  • is defamatory, abusive, obscene, pornographic or involves child sexual abuse;
  • incites hatred, violence or discrimination;
  • is contrary to public order or morality;
  • contains personal data of third parties without their consent;
  • is otherwise contrary to applicable law.

Sleeq, as a hosting provider within the meaning of French LCEN law, does not perform prior review of content. However, Sleeq reserves the right to suspend or remove without notice any manifestly illegal content brought to its attention, as well as the account of the User concerned in the event of a serious or repeated breach.

Article 7 — Intellectual Property and Content Liability

7.1. Ownership of User Content

The User remains the sole owner of intellectual property rights over uploaded videos. The User grants Sleeq a worldwide, non-exclusive, royalty-free license, limited to the duration of the contract, to reproduce, adapt (encoding, watermarking) and display content solely for the purpose of providing the Service.

7.2. Warranty and Indemnification

The User warrants that they hold all necessary rights and authorizations for uploaded content (images, music, voice, image rights). The User agrees to indemnify, defend and hold Sleeq harmless from any claim, action or demand by a third party related to uploaded content. In the event of legal proceedings against Sleeq due to content uploaded by the User, the User shall bear all defense costs, legal fees and any damages awarded.

7.3. Platform Ownership

All elements of the Platform (software, interface, trademarks, logos) are the exclusive property of Sleeq SAS and are protected by intellectual property law.

Article 8 — Termination

8.1. Termination by the User

The User may cancel their subscription at any time through their account management interface. Cancellation takes effect at the end of the current monthly period. After this period, subscription features will be deactivated.

8.2. Termination by Sleeq

Sleeq reserves the right to suspend or terminate a User's account, without notice or compensation, in the event of:

  • breach of these Terms, particularly Article 6;
  • fraudulent use of the Service;
  • payment default not remedied within eight (8) days after notice.

8.3. Data Retention

Following effective termination, Sleeq will retain the User's data for a period of thirty (30) days, during which the User may request an export of their content. After this period, Sleeq reserves the right to delete all data and content associated with the account. Billing data is retained in accordance with legal obligations (10 years).

Article 9 — Limitation of Liability

Sleeq shall not be held liable for:

  • data loss attributable to the User;
  • service interruptions related to third-party providers (Mux, Stripe, Google);
  • fraudulent use of the Service by a third party who accessed the User's account;
  • indirect damages, including loss of revenue, loss of customers or reputational harm.

In any event, Sleeq's total liability, from all causes combined, is limited to the amounts actually paid by the User during the twelve (12) months preceding the triggering event.

Article 10 — Force Majeure

Neither party shall be held liable for failure to perform its obligations if such failure results from a force majeure event within the meaning of Article 1218 of the French Civil Code, including but not limited to: natural disasters, fire, pandemic, large-scale cyberattacks, widespread telecommunications network failures, or government or regulatory decisions preventing contract performance.

In the event of a force majeure lasting more than thirty (30) days, either party may terminate the contract without compensation.

Article 11 — Personal Data

In connection with the use of the Service, Sleeq collects and processes personal data in accordance with Regulation (EU) 2016/679 (GDPR). The terms of data collection, processing and protection are detailed in the Legal Notice of the Platform.

Article 12 — Amendments to these Terms

Sleeq reserves the right to amend these Terms at any time. Modifications will be notified to the User by email at least fifteen (15) days before taking effect. Continued use of the Service after the modifications take effect constitutes acceptance of the new Terms. In the event of disagreement, the User may cancel their subscription in accordance with Article 8.

Article 13 — Dispute Resolution

In accordance with Article L612-1 of the French Consumer Code, in the event of a dispute not resolved by Sleeq's customer service, the User may use a consumer mediator free of charge. For more information, visit: www.economie.gouv.fr/mediation-conso.

Article 14 — Governing Law and Jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or performance, failing an amicable agreement, shall fall under the exclusive jurisdiction of the Courts of Paris, France.

For Users who qualify as consumers under the French Consumer Code, standard territorial jurisdiction rules apply.
